Governance

The Legislative Decree of June 8, 2001, no. 231 concerns the Discipline of the administrative liability of entities, companies, and associations, even those without legal personality. Associations, including limited liability companies, may be held responsible for certain offenses or violations committed in their own interest or for their own benefit by top executives or employees, collaborators, external consultants, and third parties of the company. On September 19, 2017, the Board of Directors of Bluclad S.p.A. (hereinafter the Company) approved its own Organization, Management, and Control Model pursuant to Legislative Decree no. 231/2001 (hereinafter referred to as the Model) in order to meet the conditions required for exemption from the administrative liability of the entity, as provided by Legislative Decree no. 231/2001.

Organization Model

The Company has also adopted an Ethical Code, which states that all business activities must be carried out in accordance with the law, following the principles of seriousness, reliability, professionalism, integrity, honesty, fairness, respect, and transparency, and respecting the interests of the company's shareholders. These principles are the cornerstone of the Company's commitment to unwavering ethical conduct, aimed at maintaining a strong and recognized reputation.

Ethical Code

As provided for in Article 6, paragraph 1, letter b) of Legislative Decree no. 231/2001, the Company has established its own Supervisory Body (hereinafter referred to as OdV), with full and autonomous powers of initiative and control over the activities of the Company. The OdV is responsible for monitoring the effectiveness, updating, and compliance with the Model adopted by the Company and its constituent elements, in order to prevent offenses or violations that may generate administrative liability for the entity. To fulfill the duties of the OdV, the Company has established an information exchange system whereby employees and those who cooperate in achieving the Company's objectives are required to inform the OdV of any violation of the Model and its constituent elements, as well as any other aspect potentially relevant to the application of Legislative Decree no. 231/2001 (e.g., illegal or ethically incorrect situations). All communications to the OdV (reports or periodic information flows) must be forwarded using the email address indicated below: odv@bluclad.it.
If the recipients of the Model and the Ethical Code behave in violation of the principles and rules contained therein, they will incur disciplinary measures provided for in the 231 sanctioning system, a constituent element of the Model itself.
